These Terms & Conditions ("Terms") govern access to and use of the FlowPlate platform (flowplate.in), the FlowPlate mobile and web applications, and related services (collectively, the "Service") provided by Orbitlink Innovations Pvt Ltd ("Orbitlink", "we", "us", "our"), a company incorporated under the laws of India.

By creating an account, subscribing to a plan, or otherwise using the Service, you ("Customer", "Restaurant", "you") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

FlowPlate is a multi-tenant restaurant management SaaS platform providing, among other things: order management, kitchen display, QR-based customer ordering, billing and invoicing, staff management, reporting, and an optional hardware sales marketplace for point-of-sale and kitchen display equipment.

2. Account Registration

2.1. You must provide accurate, current, and complete information during registration and keep it updated.
2.2. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
2.3. You must be legally authorized to bind the restaurant/business you register on behalf of.

3. Subscription Plans, Billing & Payment

3.1. FlowPlate offers subscription plans (Free, Basic, Pro, Enterprise, or as updated from time to time) with differing features and limits, described on our Plans page.
3.2. Fees are payable in advance for the applicable billing period (monthly/annual) via Razorpay or such other payment methods we make available, or through offline payment against an invoice followed by an activation key.
3.3. Trial periods, where offered, will convert to a paid subscription or restrict access upon expiry unless a valid plan is activated.
3.4. All fees are exclusive of applicable taxes (including GST) unless stated otherwise, which will be added at the prevailing rate.
3.5. We reserve the right to change subscription pricing on renewal, with prior notice sent to your registered contact details.
3.6. Non-payment or failed payment may result in suspension or downgrade of your account after a reasonable grace period.

4. Activation Keys

4.1. For offline payments, an activation key will be issued upon confirmed receipt of payment against a valid invoice.
4.2. Activation keys are restaurant-specific (where issued as such) and non-transferable.
4.3. Misuse, resale, or attempted circumvention of the activation system may result in immediate suspension.

5. Hardware Sales

5.1. Hardware products (POS devices, KDS tablets, and related equipment) listed on the Service are sold subject to separate order terms presented at checkout, including price, delivery, and warranty details specific to that product.
5.2. Orbitlink is not the manufacturer of third-party hardware and passes through manufacturer warranties where applicable; Orbitlink's own liability for hardware is limited to replacement or repair at its discretion.
5.3. Shipping timelines are estimates and not guaranteed delivery dates.

6. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to other restaurants' data; (c) reverse-engineer, scrape, or resell the Service without authorization; (d) upload content that infringes third-party rights or violates applicable law.

7. Customer Data

You retain ownership of all data you input into the Service (menus, orders, customer records, billing data). You grant Orbitlink a limited license to host, process, and display this data solely to provide the Service. See our Privacy Policy for details on data handling.

8. Intellectual Property

The Service, including its software, design, and branding, is the property of Orbitlink Innovations Pvt Ltd and is protected by applicable intellectual property laws. Nothing in these Terms transfers any such rights to you.

9. Service Availability

While we aim for high availability, the Service is provided "as is" without warranty of uninterrupted or error-free operation. Scheduled maintenance will be communicated in advance where practicable.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Orbitlink's aggregate liability arising out of or relating to the Service shall not exceed the fees paid by you in the three (3) months preceding the claim. Orbitlink shall not be liable for indirect, incidental, or consequential damages, including loss of revenue or data, except where caused by our gross negligence or willful misconduct.

11. Termination

11.1. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period unless otherwise stated in our Refund Policy.
11.2. We may suspend or terminate access for breach of these Terms, non-payment, or unlawful use, with notice where reasonably practicable.
11.3. Upon termination, we will retain your data for a reasonable period as described in our Privacy Policy to allow for export, after which it may be deleted.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts at Ernakulam, Kerala, India.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app notice at least 15 days before taking effect.
